Service Agreement

This is the plain-language basis for the projects we do together. It explains how we work, what we each owe, and what to expect.

About this agreement

This Service Agreement covers the paid work Xenon Commerce, operated by Delhi Digital Co., does for clients. That includes Shopify store design and build, store maintenance, branding, custom Shopify apps, social media management, and AI automations. Your specific proposal sets out the details for your project, and this agreement sits behind it.

How projects start

Most projects start with a chat about what you need. We then send a proposal and a quote. Once you approve it and pay a deposit, we book your project into our schedule and get going.

Payment

For project work, we usually split payment. A typical split is 50% to start and the rest at agreed milestones or before launch. Your proposal will confirm the exact terms.

  • Invoices are due within 7 days unless we agree otherwise.
  • Monthly plans, like maintenance or social media, are billed monthly.
  • If an invoice is overdue, we may pause work until it’s paid.

Timelines

Any dates we give are estimates. They depend on the project going smoothly and on you getting us what we need on time, like content, feedback, and access. If things are delayed on your side, the timeline moves too.

What we need from you

To do our best work, we’ll need you to provide:

  • Content like copy, product details, and images
  • Brand assets such as logos and fonts, where relevant
  • Access to your store, app, or accounts as needed
  • Timely feedback and approvals so we can keep moving

Revisions

We want you to be happy with the result, so a fair number of revision rounds are included in your quote. If you need more rounds beyond that, or you change direction after we’ve built something, we’ll bill the extra work at our usual rate.

Who owns the work

Once you’ve paid in full, you own the final work we deliver to you. Until then, it stays ours. We may show the finished work in our portfolio and marketing, unless you ask us not to.

Third-party costs

Some projects need paid tools to work, like premium apps, themes, fonts, stock images, or subscriptions. These costs are yours to pay, and they’re separate from our fees. We’ll flag them before spending anything on your behalf.

Confidentiality

We keep your information private and only use it to do your project. In return, we ask that you keep our pricing, process, and any internal details private too.

After launch

Every project includes a short support window after launch to catch any issues with what we built. After that, ongoing care and updates are covered by a maintenance plan. You can read more on our Store Maintenance page.

Cancelling a project

Either side can stop a project if things aren’t working out. If you cancel, you pay for the work done up to that point, and anything we’ve already delivered is yours. Deposits are non-refundable. You can read the full details in our Refund & Cancellation Policy.

Our liability

We stand behind our work, but our total liability for any project is capped at the amount you’ve paid us for it. We are not liable for indirect losses, like lost profits or lost sales.

Governing law

This agreement is governed by the laws of India. Any disputes will be handled by the courts of Delhi, India.
